Terms of Service
The terms that apply to use of LicenMark across the public site, account access, workspace setup, reviews, and billing.
Who these terms apply to
These Terms of Service apply to use of LicenMark by business users, including:
- public website visitors
- account holders
- workspace users
- billing contacts
- organisations using LicenMark for Microsoft 365 / Entra ID review work
LicenMark is a business service. It is not intended for personal, family, or household use.
Who we are
LicenMark is operated by Clearpoint Systems.

The service
LicenMark is a read-only Microsoft 365 / Entra ID access and licence review product.
The service is designed to:
- connect to Microsoft environments in read-only mode
- analyse review evidence such as users, licences, sign-in activity, and subscribed SKU data
- produce review output and reports for the workspace
- support one-off and quarterly review workflows
LicenMark is not
- an IAM platform
- an automation tool
- a remediation engine
- a zero-trust product
- a billing platform
LicenMark does not
- write back into Microsoft 365 or Entra ID
- remediate or enforce changes
- disable accounts
- remove licences
- guarantee any specific business outcome from the review
Accounts and workspace access
You are responsible for:
- keeping account access credentials secure
- ensuring only authorised users access your workspace
- providing accurate account and workspace information
- ensuring workspace users are authorised to use the Microsoft environment connected to that workspace
LicenMark may suspend or restrict access where needed to protect service security, investigate misuse, or enforce these terms.
Microsoft connection and customer responsibility
To use LicenMark, you may need to provide Microsoft tenant and application credentials for a workspace.
You are responsible for:
- ensuring you are authorised to connect the relevant Microsoft environment
- configuring the required Microsoft Graph application permissions
- granting the required admin consent where needed
- ensuring the credentials you supply are accurate and current
LicenMark stores Microsoft client secrets in encrypted form and uses the supplied credentials only to run the workspace review in line with the product's read-only design.
LicenMark stores workspace-linked review data needed to produce review output, maintain review history, and operate the service for that workspace.
Workspace-linked review data is handled on a narrow, workspace-scoped basis.
Reviews and output
LicenMark provides review output based on the data and evidence available to it at the time of the review.
That means:
- results depend on the Microsoft evidence available to the workspace
- evidence limitations may affect what can be concluded
- where evidence is incomplete or unavailable, LicenMark may state that explicitly
- review output is designed to support internal decision-making, not replace customer judgement or internal approval processes
LicenMark does not guarantee that every issue in a customer environment will be identified.
Billing, cancellation, and refunds
One-Off Review
A One-Off Review is a single paid review engagement for one workspace. Payment is taken before the paid review output is unlocked. If a paid one-off review has not completed successfully because of a technical failure in LicenMark, LicenMark may allow that paid review to be completed without requiring another purchase. Once a one-off paid review has completed successfully, it is treated as consumed. Any further fresh review may require another purchase or a move to a Quarterly Review Plan.
Quarterly Review Plan
A Quarterly Review Plan provides workspace review access while the subscription is active and paid. Reruns may be available during the active paid period. If the subscription is cancelled, cancellation takes effect at the end of the current paid period unless stated otherwise at checkout or in the billing flow. If payment fails or the plan ends, new review runs may be blocked.
Fees and payment
Fees are the prices presented at checkout or otherwise agreed for the relevant workspace and plan. Payments and subscriptions are handled through Stripe. LicenMark may rely on Stripe billing records and webhook events to confirm payment, subscription status, cancellation, and payment failure.
Refunds
Unless required by law, LicenMark does not generally offer refunds for successfully completed One-Off Reviews or for elapsed time in an active Quarterly Review Plan. If a payment is taken for a One-Off Review but the paid review cannot be completed because of a technical failure in LicenMark, LicenMark may provide access to complete that paid review rather than requiring another purchase. Any refund, credit, or billing adjustment outside these terms is at LicenMark's discretion unless otherwise required by law.
Acceptable use
You must not:
- use LicenMark in a way that is unlawful or unauthorised
- attempt to gain access to another customer's workspace or data
- interfere with service security or availability
- use the product to test, probe, or attack connected systems
- misuse the public site, authenticated app, billing flow, or review process
You must not use LicenMark in a way that exceeds the permissions or authorisations you hold for the connected Microsoft environment.
Service changes and availability
LicenMark may update, improve, or change the service from time to time.
LicenMark does not promise uninterrupted availability.
Maintenance, third-party failures, infrastructure issues, Microsoft API limits, Microsoft capability differences, or billing-provider issues may affect access or review execution.
Where possible, changes will be made in a controlled way consistent with the service's calm, supportable operating model.
Intellectual property
LicenMark and its website, app, design, copy, and service materials remain the property of Clearpoint Systems or its licensors.
You may use LicenMark and its output for your internal business purposes in line with your purchased plan and these terms.
These terms do not transfer ownership of the LicenMark service or platform to you.
Confidentiality
Each party should treat non-public business, technical, and operational information shared through the service relationship as confidential, except where disclosure is required by law or reasonably needed to operate the service through trusted providers.
Limitation of liability
LicenMark is provided as a business service.
To the fullest extent permitted by law, Clearpoint Systems is not liable for:
- indirect or consequential loss
- loss of profits
- loss of revenue
- loss of anticipated savings
- loss arising from customer decisions taken using or not using review output
- loss caused by inaccurate, incomplete, restricted, or unavailable Microsoft evidence outside LicenMark's control
Clearpoint Systems' total liability arising out of or in connection with LicenMark will not exceed the fees paid for the relevant workspace plan in the 12 months before the event giving rise to the claim.
Data retention and deletion
LicenMark retains workspace-linked review data for as long as needed to provide the service, maintain review history, and operate the workspace in a controlled way.
If a workspace is archived or closed, LicenMark may retain workspace-linked review data for a limited post-service period before that review data becomes eligible for deletion or purge.
Billing, payment, accounting, and related commercial records may be retained for longer where needed for finance, tax, dispute, or compliance purposes.
Customer requests for deletion will be handled subject to operational needs and legal obligations, including the need to retain limited records for billing, accounting, security, or dispute handling.
Suspension and termination
LicenMark may suspend or terminate access where needed for:
- non-payment
- misuse
- security concerns
- breach of these terms
- service discontinuation
You may stop using the service at any time.
Subscription cancellation and billing effects will follow the billing rules and Stripe flow applicable to the chosen plan.
Changes to these terms
LicenMark may update these Terms of Service from time to time.
The latest version will always be published on this page.
Governing law
These terms are governed by the laws of England and Wales.
The courts of England and Wales will have jurisdiction unless another valid contractual arrangement applies.
